Conditions.

The agreement between TimeStaffer and the organisations who rely on it to keep their sponsor licence in good standing. Written to be read, not hidden behind.
§01

Introduction

1.1
These Terms and Conditions (“Terms”) govern your use of the TimeStaffer platform (“Platform”), operated under the name TimeStaffer (“we”, “us”, “our”).
1.2
TimeStaffer provides software solutions designed to assist businesses in managing sponsor licence compliance obligations, including employee monitoring, reporting, and record management.
1.3
By accessing or using the Platform, you agree to be bound by these Terms.

Definitions

User
Any individual accessing the Platform.
Client
The subscribing organisation.
Services
All software and functionality provided through TimeStaffer.
Data
All information uploaded or processed via the Platform.
UKVI
UK Visas and Immigration.
§03

Use of the Platform

3.1
The Platform is provided solely for lawful business use.
3.2
You agree to:
  • Provide accurate and complete information.
  • Maintain the confidentiality of login credentials.
  • Ensure authorised users comply with these Terms.
3.3
You must not:
  • Use the Platform for unlawful or fraudulent purposes.
  • Attempt to copy, modify, or reverse engineer the software.
  • Upload misleading or unlawful data.

Service Description

4.1
TimeStaffer provides tools to support:
  • Sponsor licence compliance tracking.
  • Workforce monitoring and reporting.
  • Record management and alerts.
4.2
The Platform is a support tool only and does not constitute legal or immigration advice.
§05

No Guarantee of Compliance

5.1
TimeStaffer is designed to assist with compliance; however, we do not guarantee:
  • Compliance with UKVI requirements.
  • Prevention of enforcement action, suspension, or revocation.
5.2
Responsibility for compliance remains solely with the Client.
§06

Account Registration

6.1
Users must create an account to access the Services.
6.2
You are responsible for:
  • Maintaining account security.
  • All activity carried out under your account.
6.3
We reserve the right to suspend access where misuse is suspected.
§07

Fees and Payment

7.1
Use of the Platform may require a subscription.
7.2
You agree to:
  • Pay all fees when due.
  • Provide accurate billing information.
7.3
Failure to pay may result in suspension or termination of access.
§08

Data Protection and GDPR

8.1
TimeStaffer processes personal data in accordance with UK GDPR and the Data Protection Act 2018.
8.2
The Client acts as the data controller, and TimeStaffer acts as a data processor.
8.3
You are responsible for:
  • Ensuring lawful data collection.
  • Obtaining necessary consents.
8.4
We implement appropriate technical and organisational security measures.
§09

Data Storage and Retention

9.1
Data is stored securely using cloud-based infrastructure.
9.2
Data may be retained:
  • During the active subscription period.
  • As required by law or legitimate business purposes.
§10

Intellectual Property

10.1
All intellectual property rights in the Platform remain with TimeStaffer.
10.2
You are granted a limited, non-exclusive, non-transferable licence to use the Platform.
10.3
You must not:
  • Copy or reproduce the Platform.
  • Use it to build a competing service.
§11

Availability

11.1
We aim to provide reliable access but do not guarantee uninterrupted service.
11.2
The Platform may be temporarily unavailable due to maintenance or updates.
§12

Limitation of Liability

12.1
To the extent permitted by law, TimeStaffer shall not be liable for:
  • Loss of profits or business.
  • Loss of data.
  • Regulatory penalties or UKVI action.
12.2
Total liability shall not exceed the fees paid in the previous 12 months.
§13

Indemnity

You agree to indemnify TimeStaffer against claims arising from:

  • Misuse of the Platform.
  • Breach of these Terms.
  • Failure to comply with regulatory obligations.
§14

Termination

14.1
Either party may terminate access in accordance with subscription terms.
14.2
We may suspend or terminate access immediately in the event of breach.
14.3
Upon termination:
  • Access will cease.
  • Data may be deleted after a reasonable period.
§15

Confidentiality

15.1
Both parties agree to maintain confidentiality of all sensitive information.
§16

Third-Party Services

16.1
The Platform may integrate with third-party systems.
16.2
We are not responsible for third-party services or failures.
§17

Changes to Terms

17.1
We may update these Terms at any time.
17.2
Continued use constitutes acceptance of updated Terms.
§18

Governing Law

18.1
These Terms are governed by the laws of England and Wales.
18.2
Any disputes shall be subject to the jurisdiction of the courts of England and Wales.
